We deal with all aspects of directors' duties, including advising on how these should be implemented, how to deal with directors who are accused of neglecting their duties and on actions against directors for breach of duty and misfeasance. We handle disputes between directors and shareholders and advise on the best course of action for insolvent companies, including winding up, administration and receivership.


We advise on actions for breach of contract, including in respect of express and implied terms, rescission, misrepresentation, warranty claims, damages and injunctions for specific performance. We will bear in mind whethern the parties wish to preserve their trading relationship and offer practical commercial advice.


This divides into two categories- personal and corporate.

Corporate- we advise on the best course of action for companies in financial difficulties, including voluntary arrangements with creditors, administration, receivership, administration and winding up. We act for companies, directors, shareholders and creditors. We obtain injunctions to prevent the advertisement of winding up petitions.

Personal- we deal with voluntary arrangements with creditors, receivership, administrative receivership and bankruptcy, including the service of and applications to set aside statutory demands.

Intellectual property

We cover passing off actions,including copyright and trade marks, and advise on co-existence agreements and disputes concerning royalties, including injunctions and damages claims. We offer practical suggestions on how to resolve potentially expensive disputes and never lose sight of our clients' aims and business needs, including whether they wish to preserve their trading relationships.


Jill Thomas has been mediating disputes for almost 20 years and has an incredibly high success rate for resolving disputes. Mediation offers solutions which a court could not grant and enables the parties to develop resolutions which are ideally suited to their needs, encompassing issues which they could not bring before a court. Unlike some litigators, we believe that settlement on the right terms is often the best way forward and we will never seek to persuade a client to litigate if there are better options.


Having been partners ourselves, we understand the duties incumbent upon partners and are well placed to advise when things go wrong and assistance is required in dissolving partnerships or taking action against partners or former partners.


Jill is a member of the Property Litigation Assocation and has vast experience of property disputes. She is able to deal with all aspects of property litigation, from issues arising from the purchase of property ( such as rescission or enforcement of contracts or damages for their breach) to issues which arise during ownership, such as boundaries, rights of light, rights of way and other easements, adverse possession, covenants and way leaves.She handles lease disputes for both commercial and residential tenancies and licences,including those over rent arrears and review, dilapidations, service charges, alterations, alienation, renewal of tenancies, enfranchisment, terrmination , management and covenants. She and Sarah both deal with trusts of property -Sarah on behalf of cohabitees and Jill with the full range of beneficial ownership. They are always ready to suggest alternative means of achieving the client"s objectives and to put forward creative solutions.
